This Agreement is made and entered into as of [7/19/2024] by and between:

● ko-che, a Maryland corporation with a principal place of business at P.O. Box 219, Owing Mills, MD 21117 ("Company"), and

● [Bonita Brown] ("Client").

WHEREAS, Company offers a variety of skincare favors for weddings, parties, and other events; and

WHEREAS, Client desires to purchase Favors from Company for a [55th birthday party] on [8/24/24] (the "Event").

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Services

● Company agrees to provide Client with the following Favors [Mafura + Passion fruit body butter creams]

○ 100 - 2oz - Noir + Plum

● Company will use commercially reasonable efforts to deliver the Products to Client at the following address by [8/17/24]:

○ We will hold favors for customer to pick up or we will deliver on the day of.

2. Client Responsibilities

● Client agrees to provide Company with a final order for Products no later than [8/17/24].

● Client agrees to pay Company the total amount of [$450] for the party favors. Payment is due upon execution of this Agreement.

● Client is responsible for providing any necessary example of artwork or logos for customization of Favors (if applicable).

3. Warranties and Disclaimers

● Company warrants that the Products will be free from defects in materials and workmanship for a period of 365 days from the date of delivery.

● Company disclaims all other warranties, express or implied, including, but not limited to, warranties of merchantability or fitness for a particular purpose.

● Company will not be liable for any consequential, incidental, indirect, punitive, or special damages arising out of or related to this Agreement or the Products.

4. Limitation of Liability

● Company's total liability under this Agreement will not exceed the amount paid by Client for the Products.

5. Indemnification

● Client agrees to indemnify and hold harmless Company from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Client's use of the Products or breach of this Agreement.

6. Intellectual Property

● All intellectual property rights in and to the Products, including but not limited to trademarks, copyrights, and patents, are and will remain the exclusive property of Company.

7. Cancellation

● This Agreement may only be cancelled by a documented event of force majeure (as defined by [Maryland law]), rendering performance impossible. In such a case, Company retains the right to 50% of the total agreed-upon price as compensation for services rendered in preparation for the Event.

● Client acknowledges this Agreement is a firm commitment and understands modifications are not accepted once ratified.

8. Entire Agreement

● This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

9. Governing Law

● This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland.

10. Severability

● If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

11. Notices

● All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, return receipt requested, postage prepaid, addressed as follows:

○ If to Company: ko-che

○ If to Client: Bonita Brown

12. Waiver

● No waiver by either party of any breach of any provision of this Agreement shall be deemed a waiver of any subsequent breach.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written above.
